1. Services & Agreements

Edgeways Digital provides software and web solutions subject to the fees, timelines, and scope set out in individual project agreements. We reserve the right to update these terms or modify our service offerings from time to time.

2. Payments & Deposits

Payment terms, including any required deposit and ongoing service fees, will be agreed in writing before work commences. Invoices must be paid according to the schedule set out in your project agreement. Edgeways Digital reserves the right to pause or suspend work and ongoing services where invoices remain unpaid beyond their due date.

3. Hosting & Maintenance

To ensure the security, reliability, compatibility, and long-term performance of all solutions we deliver, Edgeways Digital provides ongoing hosting and maintenance as part of our managed service offering. This allows us to maintain consistent standards, apply updates promptly, and provide effective technical support. Ongoing hosting and maintenance services are subject to separate fees as outlined in your agreement.

4. Ownership of Intellectual Property

Edgeways Digital retains ownership of all underlying code, systems, technical frameworks, designs, assets, and development architecture created as part of any project. Upon full payment of all agreed fees, clients are granted a revocable, non-transferable licence to use the final delivered product for its intended business purposes. This approach allows us to continue improving, maintaining, and supporting the technologies that power our client projects while ensuring long-term reliability and consistency.

5. Limitation of Liability

Edgeways Digital provides services using reasonable care and skill. However, all services and products are provided without guarantees of uninterrupted availability or error-free operation. To the fullest extent permitted by law, Edgeways Digital shall not be liable for any indirect, incidental, or consequential losses, including loss of profits, data, or business opportunity.

6. Client Responsibilities

Clients are responsible for providing any required content, feedback, approvals, and access credentials in a timely manner. Delays in providing required information or approvals may result in adjustments to project timelines or delivery dates. Clients are also responsible for ensuring they have the necessary rights or permissions for any materials they supply to Edgeways Digital.

7. Termination

Either party may terminate ongoing services by providing 30 days’ written notice. Outstanding fees for completed work or active service periods remain payable. Where hosting or maintenance services are terminated, Edgeways Digital may discontinue any associated managed services, infrastructure, or proprietary systems connected with the project.

8. Acceptance of Terms

By engaging Edgeways Digital for any services, the client acknowledges that they have read, understood, and agreed to these Terms and Conditions alongside any applicable project agreement.

9. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
